BOARD VISION:
StudentsCare’s Board of Directors harnesses the knowledge and experience from a diverse group of individuals who will drive the organization forward. Members will practice good governance and fulfill their fiduciary responsibilities, keeping the organization’s mission forefront. Gender, geographical, and skillset diversity will be demonstrated.

THE ROLE OF THE BOARD:
As the highest leadership body of the organization and to satisfy its fiduciary duties, the board is responsible for:
- Determining the mission and purposes of the organization
- Selecting and evaluating the performance of the CEO/ executive director
- Engaging in strategic and organizational planning
- Ensuring strong fiduciary oversight and financial management
- Fundraising and resource development
- Approving and monitoring StudentsCare’s programs and services
- Enhancing StudentsCare’s public image
- Assessing its own performance as the governing body of StudentsCare
BOARD MEMBER EXPECTATIONS:
- Attendance (in-person or remotely) at quarterly board meetings
- Give a meaningful financial donation of at least $2,500 per year (or solicit an equal amount from personal network)
- Participate fully in one or more committees and accomplish goals within set time frames (time commitment will vary by committee)
- Serve as a board member for at least one 2-year term
- Know StudentsCare’s mission, policies, program, and needs
- Faithfully read and understand financial statements
- Serve as active advocates and ambassadors for StudentsCare and fully engage in identifying and securing the financial resources and partnerships necessary for StudentsCare to advance its mission
- Leverage connections, networks, and resources to develop collective action to fully achieve StudentsCare’s mission
- Prepare for and conscientiously participate in board meetings
- Help identify personal connections that can benefit fundraising and reputational standing
- Follow the organization’s bylaws, policies, and board resolutions
- Sign an annual conflict-of-interest disclosure and update it during the year if necessary, as well as disclose potential conflicts before meetings and actual conflicts during meetings
- Maintain confidentiality about all internal matters of StudentsCare
COMMITTEE ROLES & RESPONSIBILITIES:
Executive committee: this committee is in place to be a sounding board for the CEO in prioritizing and strategizing around organization’s needs on an ongoing basis.
- Connect with the CEO on a weekly basis to address current operational needs
Expected time commitment: 1-3 hours/week
Fundraising committee: this committee is responsible for overseeing the organization’s overall fundraising and, in particular, the fundraising done by the board.
To accomplish this, its responsibilities are:
- To work with staff to establish a fundraising plan that incorporates a series of appropriate vehicles, such as special events, direct mail, product sales, etc.
- To work with fundraising staff in their efforts to raise money
- To take the lead in certain types of outreach efforts, such as chairing a gala committee or hosting fundraising parties, etc.
- To be responsible for involvement of all board members in fundraising, such as having board members make telephone calls to ask for support
- To monitor fundraising efforts to be sure that ethical practices are in place, that donors are acknowledged appropriately, and that fundraising efforts are cost-effective.
Expected time commitment: 15-20 hours/month
Governance and Nominating committee: this committee is responsible for keeping the board on track and ensuring that the nonprofit has effective governance practices and healthy development and operation of the board,. Tasks include:
- Ensuring that individual board members are engaged and board as a whole is effectively fulfilling its obligations as a steward of the nonprofit’s assets, reputation, financial and human resources, and mission.
- Work with board, staff and other appropriate committees to identify candidates for involvement in the organization and develop cultivation strategies to strengthen relationship with these individuals.
- Develop and carry out board and board member assessment processes.
- Design an annual orientation for the full board
Expected time commitment: 10-15 hours/month
Budget and Finance Committee: this committee is responsible for ensuring proper financial management. Tasks include:
- Reviewing budgets initially prepared by staff, to help develop appropriate procedures for budget preparations (such as meaningful involvement by program directors), and on a consistency between the budget and the organization’s plans
- Reporting to the board any financial irregularities, concerns, opportunities
- Recommending financial guidelines to the board (such as to establish a reserve fund or to obtain a line of credit for a specified amount)
Expected time commitment: 10- 20 hours/quarter
